OSImageTool tells that 32Mb MMC card is 23.53Mb only

OSImageTool tells that 32Mb MMC card is 23.53Mb only and
refuses to write CE ROM on it. What is wrong here?

I use NCP card reader. And this card was used for a long time
as 32Mb one. Windows also reports it as 32Mb. I am not talking
about words Siemens 32Mb SanDisk on it. :-)

32 is too small to put a rom on it
it have to be min 64MB

some of it is used for fat stuff and
....
