I believe I have everything installed including the Motorola drivers (device is recognized and allows me to access by explorer). When I am at the cmd line, and type adb devices the first time, it says loading daemon, then I type adb devices again, in list the sn, but states it is offline.

When I type adb shell, it states error: device offline.

I have re-installed everything multiple times, any idea what is happening? I mean it see's my phone, but states it is offline. Thanks for any help.

Probably did this, but just in case... you have usb debugging enabled right?

Yes, thanks, I have enabled and disabled and restarted phone to no avail. I mean it sees the phone, but just states it is offline.

I just recently installed the Full 2.3.4 with preinstall root and pudding bootloader unlock, full sbf
