using apktool ?

apktool for windows
--> apktool
--> apktool.jar

download these 2 files and use 7z to extract
apktool d *.apk - to decompile
apktool b *.apk - to compile

hope it helps. cant wait to have toggles bar in ICS

I read in xda featured posts that there is a proper different way to decompile ICS apk.
