1) Operating system.
2) 32GB is never really 32GB on anything... check your home computers drive... basically Hard Drive makers count 1kb as 1000 bytes where most OS's count them as 1024 bytes... so there will be a diff in what the manufacturer states and what the computer reports...
3) Pre-installed apps (not really many on this device, but they take up some space)
