Depends on what kind of upgrading you are referring to. Typically an official update will change the kernel and the baseband (if there is a change). Custom updates will not include a modem/baseband. Sometimes it is necessary to update the baseband, but depends on the kind of update you're dealing with and the rom developer should tell you what is needed to install. Custom roms will also typically change the kernel along with the OS.
