I am currently using CeRegEditor, but it lacks a feature i want.
When importing a key i want it to inform me if the key already exists with the same or different value and let me decide what to do.
It should work in offline mode as well.
Is there such a program?

AFAIK, most registry editors simply overwrite the key without prompting. You could try dotFRED Task Manager (built-in registry editor) or PHM Registry Editor. Have a look at the tools review thread in this forum section.
