At first you don't have CWM. So fastboot kernel by typing "fastboot flash boot x.elf" in cmd. Then flash the kernel once again via CWM for complete installation.

I flashed this through FlashTool and it doesn't boot with Rom I have installed named Phoenix...so I had to reflash other one any ideas why this don't work.

This kernel is only for kitkat. PhoeniX Rom is based on jellybean. So obviously it won't work.
