since you are on S-OFF there is no point to unlock the bootloader
you can flash the 3.33 firmware from here
http://forum.xda-developers.com/showthread.php?t=1459767
it will give you also a patched hboot which is unlocked
follow the instructions to the letter
and before flashing check md5 sums(important)

BUT

if you ever decided to return to S-ON first you have to flash a ruu.exe to return to stock
then make sure that you will have the official hboot
if you have the official then return to S-ON

Thanks for reply!

I was thinking about unlocking BL because i don't have warranty already (old device :), but i think this

"since you are on S-OFF there is no point to unlock the bootloader" is all i needed to know :)

flash 3.33 universal from here
http://forum.xda-developers.com/showthread.php?t=1459767
follow the instructions to the letter
and before flashing check md5 sums

then
follow only step 2 from here
http://forum.xda-developers.com/showthread.php?t=1631861

that's why i told you to flash 3.33 universal firmware first
you are still on gingerbread firmware
if you flash 3.33 the rom will boot

i remind you:
follow the instructions to the letter
