Depends on if you plan to distribute it,
the quick answer would be
grab an existing theme.apk, like this one for instance,
use apktool to decompile it,
then look in the assets folder,
only the things that are overridden are changed in there,
so it pretty much shows you what needs to be changed.
one word of caution...photoshop adds bad meta data to the png's
so you will either need to strip off the meta data from the created graphics,
or use a different picture editor. like gimp.

Also look inside the manifest.xml files and change things to your names

Well, this is what appears to be the deal with WhatsApp,
a couple of things can be themed, (Bars, some Icons)
but,
what you probably want is the white backgrounds changed to Black,
well, WhatsApp hard coded the colors in their Layouts.
the CM12 Themer does not theme Layouts.
So, I don't think that the WhatsApp can be themed the way you want.

If anyone knows of a CM12 theme that did find a way to theme the white to Black,
please let me know what the theme name is.

check out coalfield, he has themed a lot of elements in whatsapp, i'm referring to the new material design update available on whatsapp site

So, there were some changes to CM12 recently
New updates coming soon:
Sounds icon will be re-themed
Delete icon will be re-themed

Google Photos was split away from google +
so I am working on figuring out how to theme that one.

Anyone else have anything? let me know.
