We can just disable it from settings or freeze it with titanium backup.

The Baidu directory is created when using apps by Baidu as well as others that use some of Baidu's APIs. That wasn't a concern.

People were worried about the Baidu directory being created by the My Xperia app without their knowledge and the same app communicating with Baidu servers in Beijing.

It turns out that the My Xperia app just has the necessary code to work in China where communication with Google servers is forbidden. The worldwide version of the app is going to have this removed in a future update.

So, all in all, not a concern at all. :)

So it's not "spyware" at all right?

It's all about $

It's not about being reckless or not. It's about making money and having control. When it comes to selling billions of devices out there, and knowing where 10% of them are at any moment, do you think private companies (or gov agencies) would care about not being reckless, or being politically correct?
