From where the wind begins....
I currently have a rooted Xoom running 3.2 with Kernel 2.6.36.4 Tiamat, build HTJ85B.
My question is can I update or change the kernel, and update the OS to 4.0,both strictly OTA? If not, can I at least download the needed files to a flash drive, download those files to a particular that is not connected to the Internet, then update the Xoom that way?

From what I understand, you should be able to unroot your xoom, recieve the
OTA then reroot it.
You dont need to unroot to take OTA updates.

I'm confused as to why OP can't simply take the OTA updates.

Just realized OP is on a custom kernel and possibly a custom rom. Do you have a custom recovery installed as well OP?

Well regardless you can't take OTA updates if you dont have the stock recovery. Your best bet is to go to Motorola's site, download the stock images for your region and then flash them with fastboot.
