wifi only + root update

Trying to update to 3.1. Xoom is stock with root nothing else. The update begins to install but then goes to a ! Within seconds. So how should I proceed to install the update

Beause you are rooted the OTA fails. Its looking for stock files that are no longer there. Check out the dev section. Find a method you feel comfortable with and update. I recommend BRD's method. Or you could revert to stock and hope the ota notification persists.
